Terms and conditions for “Berlzop Website”

Draft before sales begin. Sales remain closed; ordering is currently not possible. The following texts describe the intended contract terms once sales begin and do not confirm that ordering, cancellation, withdrawal or commission processes are already available. Automatic AI handling of new support cases remains blocked until the provider connection has been verified.

This version applies to orders from the store opening. Mandatory contract details (the named AI provider) will be added by then; ordering is not possible before.

The contract language is German. This complete translation is for information; the German version remains binding.

1. Provider and scope

1.1 The provider is Daniel Pestow, trading as “Berlzop” (sole trader), Steinkauterweg 21, 56112 Lahnstein, Germany, phone: +49 2621 9189000, email: kontakt@berlzop.de (“Berlzop”, “we”).

1.2 These terms apply to all contracts for the “Berlzop Website” package with consumers and businesses (Sections 13 and 14 of the German Civil Code, BGB). Consumers enter into contracts exclusively through the ordering process on berlzop.de; chat, Telegram and email are used for advice and agreement on content. Different customer terms apply only if we expressly agree to them.

1.3 The contract language is German. Translations are provided for information only.

2. Services

2.1 Berlzop creates a website for the customer from their description by chat, Telegram, voice message or email, and operates it for the contract term. The package includes:

  • creation of the website and a preview before publication;
  • hosting on servers in Germany with an encrypted connection (TLS);
  • one domain with a usual extension (such as .de, .com or .eu), newly registered or transferred from another provider; extensions with higher registration costs require a separate agreement;
  • one email mailbox with 1 GB of storage under the domain;
  • ongoing changes to text, images, pages and design within normal website maintenance (clause 2.3).

2.2 The domain is registered in the customer's name as holder. The customer provides the necessary, accurate holder information.

2.3 We prepare requested changes as a preview no later than the second working day after receipt and publish them after customer approval; this is usually faster. There is no fixed allocation of hours. Larger new developments such as online shops, booking or payment systems, user accounts, membership areas and custom interfaces are not included; we provide a separate quotation for these on request.

2.4 Berlzop uses AI systems for planning, design, copy and implementation. The contact in the chat is an AI assistant and states this at the beginning of every conversation. We submit every publication to the customer as a preview for approval first.

2.5 We provide templates for the legal notice and privacy notice of the customer's website. We do not provide legal advice; the customer, as the website operator, is responsible for its legal content.

2.6 We may use technical service providers (such as a data centre, domain registrar or AI provider). Where they process personal data on the customer's behalf, clause 10 applies.

3. Free preview and conclusion of the contract

3.1 The first website preview is free and non-binding. It does not itself create a paid contract.

3.2 The contract is concluded when the customer clicks “Zahlungspflichtig bestellen” (order with an obligation to pay) in the ordering process on berlzop.de and we confirm the order by email. Before submission, the customer sees all order details and can correct input errors.

3.3 Start of service: If the customer expressly requests that we begin before the withdrawal period ends when placing the order, we publish the approved website no later than the second working day after the order. Without that request, we publish it no later than the second working day after the withdrawal period ends. Cancellation is free until the first publication.

3.4 We email the customer the contract confirmation together with these terms and the withdrawal instructions. We store the contract text; the customer can request it at any time in their account or by email.

4. Price and payment

4.1 The package costs €99 per month. This is the final price and includes statutory VAT.

4.2 Billing starts on the date of the website's first publication. Each monthly fee is due in advance for one month. The customer receives an invoice by email.

4.3 Payment is made using the payment methods offered in the ordering process.

4.4 If a customer's payment is more than 14 days overdue, we may temporarily take the website offline after giving notice by email, until payment is received. The customer's domain and data are retained.

5. Term and cancellation

5.1 The contract runs for an indefinite period. The customer may cancel at any time with effect at the end of the current paid month, and may cancel free of charge at any time before the first publication. We may cancel with one month's notice effective at the end of a paid month.

5.2 The customer may cancel using the “Verträge hier kündigen” (cancel contracts here) button on berlzop.de, by email or in the chat. We confirm receipt of cancellation promptly by email.

5.3 The right to terminate immediately for good cause remains unaffected.

5.4 The website goes offline after the contract ends. Until deletion, the customer may request an export of the website files, their domain transfer code and a mailbox export at any time; we send an email reminder at the end of the contract. The domain remains registered to the customer: we provide the transfer code or, at their request, transfer it to another provider or to the registry's administration. We delete the website, mailbox and customer data 30 days after the contract ends, unless statutory retention duties prevent this.

6. Right of withdrawal

Consumers have a statutory right of withdrawal. Details are given in the withdrawal instructions. The “Vertrag widerrufen” (withdraw from contract) button is also available on berlzop.de for withdrawal.

7. Customer obligations

7.1 The customer provides only content (text, images, logos, data) for which they hold the necessary rights and whose publication is lawful.

7.2 We do not implement unlawful content or content that infringes third-party rights. If we become aware of such content on the website, we may block it until the matter is resolved. We notify the customer of the block with reasons (Article 17 DSA) and give them an opportunity to comment.

7.3 Anyone may report unlawful content on a website we host to kontakt@berlzop.de or using the reporting form on berlzop.de (Article 16 DSA). We review reports promptly; AI systems may assist, but a human decides on blocking.

7.4 The customer keeps their credentials confidential and informs us of changes to their contact details.

8. Rights of use

8.1 Content supplied by the customer remains theirs. They grant us the rights necessary to create, operate and maintain the website.

8.2 The customer receives a non-exclusive, unlimited-duration right to use the website created for them, including after the contract ends. Third-party components (such as fonts or libraries) are subject to their own licences.

8.3 With the customer's consent, we may name the website as a reference.

9. Availability, warranty and liability

9.1 We operate the website with the care of a competent provider. We aim to carry out maintenance at night.

9.2 Consumers have the statutory rights in the event of defects, particularly those governing digital products (Sections 327 onwards BGB).

9.3 We have unlimited liability for intent and gross negligence, injury to life, body or health, under the Product Liability Act, and within any guarantee we have undertaken. These rules also apply to our legal representatives and agents. For slight negligence, we are liable only for breach of essential contractual obligations whose performance enables proper execution of the contract and on which the customer may regularly rely; in that case, liability is limited to the foreseeable damage typical of the contract.

10. Privacy and data processing on behalf of customers

10.1 The privacy notice on berlzop.de explains how we process the customer's personal data.

10.2 Where we process personal data on behalf of a business customer (such as contact form messages or mailbox content), the data processing agreement under Article 28 GDPR also applies and forms part of this contract.

11. Changes

11.1 We change the price of an existing contract only with the customer's consent. If they do not agree, the contract continues at the existing price; the cancellation right under clause 5 remains unaffected.

11.2 We may change the service for consumers without additional cost if there is a valid reason, particularly a change in law, security requirements, technical development or a change of service provider. We inform them in good time and clearly; if the change affects access or use more than insignificantly, the consumer may cancel under Section 327r BGB.

12. Final provisions

12.1 German law applies. For consumers, this choice applies only insofar as it does not remove the protection of mandatory provisions of the state in which they have their habitual residence.

12.2 We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration body.
